Vibe Distro Terms and Conditions of Use

1. Parties

These Terms and Conditions of Use ("T&C") govern access to and use of the www.vibedistro.com platform (the "Site") and its digital music distribution services (the "Services"), provided by VIBE GLOBAL MUSIC LLC, a limited liability company incorporated under the laws of the Unit State with domicile in Delaware, USA ("Vibe Distro", "we" or "our").

2. Acceptance of Terms

By completing the registration form, submitting your data and awaiting our approval notification, you agree to be bound by these T&C and our Privacy Policy. If you do not agree, do not use or access the Services.

3. Account Registration and Approval

The Vibe Distro registration process requires approval and consists of several steps:

1. No automatic account creation

Every prospect must complete a form with personal data, artist or representative profile, and any other requested information.

2. Application evaluation

Vibe Distro will evaluate your application and may approve or reject access at its discretion.

3. Panel access

Only approved users will receive credentials to access the user panel and submit content.

4. Service Description

Our services include:

1. Digital distribution

Vibe Distro offers digital music distribution to major Digital Service Providers (DSPs), including Spotify, Apple Music, iTunes, Amazon Music, TikTok, YouTube Music and others.

2. Complete management

Includes metadata management, ISRC/UPC code assignment, sales report delivery and payments in US currency.

5. Content Submission and Responsibilities

By using our services, you assume the following responsibilities:

1. Material upload

You are responsible for uploading audio files, artwork, metadata and necessary licenses or authorizations.

2. Rights guarantee

You must guarantee that you own all exploitation rights to the recordings and compositions.

3. Legal responsibility

Vibe Distro does not exhaustively review each submission; in case of illegal acts or third-party claims, you may be liable for compensation and sanctions.

6. Intellectual Property and License

About your content rights:

1. Ownership

You maintain ownership of your content: audio, lyrics, images and other associated materials.

2. Distribution license

With your approval, you grant Vibe Distro a non-exclusive, worldwide, royalty-free license to distribute your content on DSPs and related services.

7. Fees, Charges and Payments

Information about our economic model:

1. Fee information

Distribution fees, commissions and possible additional costs are reported in your panel after approval.

2. Charges and payments

All reproduction or sales revenue payments will be deposited to your "Vibe Distro balance/account" in US dollars.

3. Withholdings

Vibe Distro reserves the right to withhold or deduct amounts in case of fraud or disputes, according to the anti-fraud clause.

8. Anti-Fraud Policies and Conduct

Rules of behavior and consequences:

1. Compliance

You must comply with each DSP's anti-fraud policies.

2. Prohibitions

It is prohibited to use automated means to inflate plays or sales (bots, scripts, etc.).

3. Sanctions

Upon reasonable suspicion of fraudulent activities, Vibe Distro may withhold payments, suspend accounts and apply minimum charges of US$1,000 for legal and administrative costs.

9. Service and Site Modifications

Vibe Distro may update features, interfaces, DSP lists and prices at any time. We will notify relevant changes in your panel or by email.

10. Liability and Warranties

Liability limitations:

1. No warranties

The Site and Services are offered "as is" and without express or implied warranties.

2. Limitation of liability

In no event shall Vibe Distro be liable for indirect, incidental or consequential damages.

11. Termination

We may revoke your access and delete your content if you breach these T&C or under suspicion of prohibited practices, without prejudice to legal actions.

12. Applicable Law and Jurisdiction

These T&C are governed by the laws of the Dominican Republic. For any dispute, the parties submit to the competent courts of the State of Delaware.
